SpaceX AI Division Absorbs Cursor in $60B All-Stock Deal

SpaceX finalized its $60 billion acquisition of Anysphere, moving the Cursor IDE into the SpaceXAI division to train Grok models on developer session data.

On August 14, 2026, SpaceX completed its all-stock acquisition of Anysphere, Inc., bringing the AI code editor Cursor into its operations. The transaction, detailed in the official integration announcement, values the startup at $60 billion. Cursor now operates as a wholly owned subsidiary within the SpaceXAI division.

Deal Structure and Integration

Under the terms of the acquisition, outstanding Cursor common and preferred shares converted into 389,289,254 shares of SpaceX Class A common stock. The conversion price was determined by SpaceX’s volume-weighted average closing price over the seven trading days preceding the close. Vested restricted stock units transitioned into 1,752,426 Class A shares. Unvested equity was assumed as approximately 29.1 million SpaceX RSUs and 44.4 million options.

The Cursor team will pivot to focus on core organizational products, specifically Grok Build, Grok Bot, and the Grok API. The closing follows an April 2026 agreement that gave SpaceX an option to acquire Anysphere or pay a $10 billion cooperation fee. SpaceX exercised the option on June 16 following its Nasdaq initial public offering.

Grok 4.6 Benchmarks

Two days before the transaction closed, Cursor shipped Grok 4.6, a model optimized for long-running agents and interactive visual tasks. The release serves as the baseline for the newly merged entity’s capabilities, matching the intelligence tier of GPT-5.6 Sol Max.

Infrastructure and Reinforcement Learning

The merger provides Anysphere access to Colossus, SpaceX’s training supercomputer currently equipped with approximately 200,000 Nvidia GPUs. The hardware footprint is planned to scale toward one million H100-equivalent units. This compute capacity supports a new reinforcement learning architecture aimed at creating a closed-loop data flywheel.

Cursor developer sessions will act as a primary telemetry source to provide RL data. The resulting fine-tunes will update the Grok models, which are then redeployed directly back into the IDE to reduce LLM API costs in production and lower inference latency. In the immediate lead-up to the finalized deal, Cursor also acquired the startup Firetiger and secured AIUC-1 certification for agent security and reliability.
