Boeing Trades Autonomous Flight Units to Fuel Archer ZEE AI

Archer Aviation is acquiring three Boeing subsidiaries to integrate two million flight hours of data into its ZEE foundation model for autonomous aerospace.

Archer Aviation and Boeing have agreed to a definitive transaction transferring three of Boeing’s autonomous flight subsidiaries to Archer in an all-stock deal. The acquisition of Wisk Aero, Insitu, and SkyGrid supplies Archer’s ZEE foundation model with nearly two million flight hours of real-world training data. For engineers working on embodied AI, the consolidation highlights a shift toward vertical integration, where hardware platforms and proprietary datasets are merged to train multimodal “Physical AI” systems.

Deal Structure and Capital

The transaction reshapes the cap table for both entities. Archer acquires the three subsidiaries entirely through the issuance of new Class A shares and warrants, leaving Boeing with a 19.75% pre-close stake in the company.

Archer issued two warrants to Boeing totaling $200 million in notional value, featuring strike prices of $13.00 and $17.88. Boeing also committed to a Forward Equity Purchase Agreement, guaranteeing up to $55 million in a future Archer funding round. Beyond the equity exchange, the deal immediately alters Archer’s income statement. The inclusion of Insitu, a defense contractor operating in 35 countries, adds an established business generating over $200 million in annual revenue to Archer’s portfolio. The transaction is scheduled to close by the end of 2026, pending Hart-Scott-Rodino Act regulatory approvals, with an outside date of May 9, 2027.

Data Scale and ZEE Integration

The acquisition serves as a massive data pipeline for Archer’s ZEE AI foundation model. On August 5, Archer announced that ZEE achieved real-time prediction of airport surface trajectories. Merging Boeing’s subsidiaries scales this software effort into world simulation and action by providing a massive repository of historical flight telemetry.

Each subsidiary contributes a specific operational layer to the ZEE platform:

  • Wisk Aero: Delivers over 1,700 test flights and six generations of eVTOL aircraft designs.
  • Insitu: Provides manufacturing data and operational history from over 3,500 uncrewed aerial systems.
  • SkyGrid: Contributes a ground-based, aircraft-agnostic air traffic management solution designed to coordinate automated airspace.

The inclusion of SkyGrid is particularly relevant for developers building multi-agent systems, as it transitions individual autonomous flight models into a coordinated network capable of managing complex airspace logistics.

Cross-Licensing and Hardware Constraints

Boeing is not entirely exiting the autonomous space. The agreement includes a cross-licensing framework allowing Boeing to retain access to Wisk’s core autonomous flight technology. This ensures Boeing can integrate these software models into its own future commercial and defense aircraft programs, such as prospective 737 successors.

Following the announcement, Archer Aviation shares surged between 12.5% and 23% in intraday trading on August 10.
